Sivers IMA Holding AB (”Sivers IMA” or the ”Company”) today announces its intention of a directed share issue directed to institutional, and other qualified, investors in order to finance organic and international expansion to support the recent year’s growth in order intake (the “Directed Share Issue”). The Directed Share Issue is intended to amount to approximately SEK 200 million. The Directed Share Issue is intended to be performed through a so-called accelerated bookbuilding procedure and the Company has appointed Nordea Bank Abp, filial i Sverige (“Nordea”) as Sole Global Coordinator and Sole Bookrunner in connection with the transaction.
The Directed Share Issue is intended to be carried out based on the authorization granted by the annual general meeting on May 19, 2020.
The subscription price for, and the allocation of, the shares in the Directed Share Issue is to be determined through an accelerated bookbuilding procedure, which will begin no earlier than 17:31 CET today, September 23, 2020, and end before the commencement of trading on Nasdaq First North Growth Market on September 24, 2020. The bookbuilding procedure may, at the discretion of the Company or Nordea, close earlier or later and may be cancelled at any time and consequently, the Company may refrain from completing the Directed Share Issue. Sivers IMA will, on closing of the bookbuilding procedure, inform via press release the outcome of the Directed Share Issue.
The reason for the deviation from the shareholders’ preferential rights are to diversify the shareholder base in the Company among Swedish and international institutional, and other qualified, investors and at the same time raise capital in a time and cost-efficient manner in order to enable continued expansion of the business. The board of directors’ assessment is that the subscription price in the Directed Share Issue will be in accordance with market conditions, since it will be determined through an accelerated bookbuilding procedure.
The Company has during the recent year seen an increase in order intake, both in the 5G segment, with several new “design wins”, as well as in the Photonics segment, with orders from two Fortune 100 companies. To support the increase in order intake, the gross proceeds from the Directed Share Issue will be used to accelerate the Company’s organic and international expansion, primarily via investments in production capacity, customer support and sales & marketing.
